1. Parties and acceptance
1.1 This Partner Programme Agreement (the "Agreement") is between JSMN EQT LLC, a limited liability company doing business as levelpartner.ai, with its address at 15 Main St, Unit 470, Flemington, New Jersey 08822-7423, United States (the "Company", "we", "us"), and the individual or entity accepted into the levelpartner.ai Partner Programme (the "Affiliate", "you").
1.2 You accept this Agreement when you apply to, pay to join, or take part in the Programme, or when you sign it. The Programme Policies in Schedule B and the Commission Schedule in Schedule A form part of this Agreement.
1.3 This Agreement applies to everyone in the Programme, including affiliates who book meetings for others (setters). The same terms apply to all of them.
2. Definitions
In this Agreement:
- Programme means the levelpartner.ai Partner Programme, run through the Partner Portal at partners.levelpartner.ai.
- Partner Portal means the online portal where you find your links, coupon, Academy, assets, call reviews, earnings, payouts and tax details.
- Customer means a business that buys an Eligible Package from the Company.
- Eligible Package means a subscription package with a recurring subscription fee listed in Schedule A, or any other package the Company marks as commissionable in the Partner Portal.
- Subscription Revenue means the subscription fees for an Eligible Package that the Company actually receives from a Customer, after refunds, chargebacks, credits and discounts, and excluding taxes, usage, top-ups, add-on usage, implementation or hourly fees, custom builds, ad spend and any other one-off or non-recurring charge.
- Qualified Deal has the meaning in clause 9.
- Tracked Link means the unique links and booking links the Partner Portal gives you. Coupon means the coupon code the Partner Portal gives you.
- Attribution Window means 90 days from the last click on a Tracked Link.
- Hold Period means 30 days from the date a Customer payment is received.
- Recruited Affiliate means an affiliate who joined the Programme through your Tracked Link or Coupon.
- Active Affiliate means an affiliate with at least one new Qualified Deal in the preceding 12 months. A new affiliate counts as active for the first 12 months after joining.
- Platform Account means the levelpartner.ai platform account given to you as a Programme benefit.
- Approved Materials means the courses, scripts, templates, decks, images, videos and other materials the Company makes available in the Partner Portal.
- Programme Title means "levelpartner.ai Partner" or "levelpartner.ai Affiliate".
3. The Programme and your role
3.1 The Programme lets you introduce businesses to levelpartner.ai and earn commission on what they buy, train in the Academy, and use a free Platform Account to run and demonstrate the platform.
3.2 You are an independent contractor. You are not an employee, agent, legal partner, joint venturer or franchisee of the Company. The Programme Title is a programme name. It does not create a legal partnership and gives you no authority to act for the Company.
3.3 You have no authority to sign contracts, accept orders, set or change prices, give discounts or credits, promise features, timelines or results, or make any other commitment on the Company's behalf. All sales are made by the Company on its own terms.
3.4 The Company runs the product, hosting, onboarding, implementation and customer support. You make the introduction and may keep the relationship with the Customer.
4. Joining and eligibility
4.1 To join you pay a one-time fee of €17 and complete the application in the Partner Portal. The fee pays for access to the Partner Portal, the Academy and the Approved Materials. It does not buy the right to recruit, and no commission of any kind is paid on joining fees.
4.2 The Company may accept or reject any application at its sole discretion. If we reject your application, we refund the joining fee.
4.3 Continued participation depends on compliance with this Agreement and applicable law. You must be at least 18 and able to enter into a binding contract.
4.4 You must keep your profile, contact, payment and tax details in the Partner Portal accurate and up to date.
5. Your Platform Account
5.1 While you are an Active Affiliate you receive a full Platform Account with no licence fee. It is not a trial and it is not a reduced version.
5.2 You pay for usage on your Platform Account (for example calls, texts, emails and AI actions) at the Company's published rates, from a prepaid wallet you top up yourself. Usage is not commissionable.
5.3 You may use your Platform Account to run your own business and to demonstrate the platform to prospects as your demo account. You may not resell, sub-license or white-label it, or use it to provide services to third parties as if it were their account.
5.4 If you stop being an Active Affiliate, we will give you at least 30 days' notice before the free Platform Account ends. You can then buy a licence, export your data, or close the account. This does not affect commission already earned or ongoing Tier 1 commission under clause 8.
5.5 The Company's terms of service, acceptable use rules and Data Processing Agreement apply to your use of the Platform Account.
6. Training, certification and call reviews
6.1 You get access to the Academy in the Partner Portal. Some courses are required before you start selling. Some assets are available only after you pass a certification level.
6.2 Level 1 certifies product knowledge. Level 2 certifies selling, and requires a reviewed call scoring at least 75 under the Programme scorecard, with the required checks met, as set out in the Academy. The Company may change certification requirements on notice in the Partner Portal.
6.3 You may submit practice or real sales calls for review. You must get every participant's consent to record before recording, using the consent script in Schedule B. Do not submit a recording without that consent.
6.4 A person at the Company checks scores before you see them. Scores are coaching, not a guarantee of any outcome.
6.5 With your written consent and the consent of every participant, the Company may use a submitted call as a training example. Personal details are removed unless the participants agree otherwise.
7. How you represent levelpartner.ai
7.1 When you contact prospects, you present yourself with your Programme Title, for example "[Your name], levelpartner.ai Partner" or "[Your name], levelpartner.ai Affiliate", and you may introduce yourself as "[Your name] from levelpartner.ai". Your signatures, profiles, cards, decks, invitations and other prospect-facing materials carry the levelpartner.ai name and your Programme Title. They do not carry your own company name or logo.
7.2 Every time you promote levelpartner.ai or introduce a prospect, you clearly disclose that you earn a commission, using the disclosure in Schedule B or wording the Company approves.
7.3 You never present yourself as an employee, officer, or official or legal representative of the Company. You never use "levelpartner" in your own domain names, social handles, email addresses or company names.
7.4 When you show your Platform Account to a prospect, you describe it as your demo account.
7.5 Where these rules conflict with your own business branding, these rules apply to all Programme activity.
8. Commission
8.1 Tier 1. You earn 30% of the Subscription Revenue the Company receives from each Customer under a Qualified Deal attributed to you. This applies to every payment and every renewal of that Eligible Package, for as long as the Customer keeps the subscription active and in good standing. If the Customer cancels, commission stops. If the Customer upgrades to another Eligible Package, commission continues on the new package.
8.2 Tier 2. You earn 5% of the Subscription Revenue the Company receives from Customers under Qualified Deals attributed to your Recruited Affiliates. Tier 2 is paid by the Company on top of the Recruited Affiliate's own commission and is never deducted from it. Tier 2 applies only while both you and the Recruited Affiliate are Active Affiliates and compliant with this Agreement. There is one level of Tier 2 only.
8.3 Who closes the sale. You earn Tier 1 commission on every Qualified Deal attributed to you, whether you run the sales conversation yourself or the prospect books a strategy session with the Company through your Tracked Link.
8.4 No commission is paid on: usage, top-ups and add-on usage; implementation, onboarding or hourly fees; custom builds; ad spend; taxes; Growth Plans Performance or any other revenue-share arrangement; joining fees; purchases by you, your own company or anyone acting for you; or any amount not actually received by the Company.
8.5 Team campaign bonuses. Once you have earned at least €500 in approved commission you may run team campaigns for your Recruited Affiliates in the Partner Portal. Bonuses are funded entirely from your own campaign pool, at amounts and caps you set within the Portal's limits. The Company administers payment of bonuses but does not fund them. Campaigns must be fair, use clear rules, and never promise income.
8.6 Sharing commission with a referral partner. You may agree to share part of your own commission with a person who introduces prospects to you but does not join the Programme. That arrangement is between you and that person, in writing. You alone are responsible for paying them, for any tax, and for making sure they follow clauses 7 and 13 and Schedule B. The Company has no obligation to them. Alternatively, the referral partner may join the Programme, in which case clause 8.2 applies.
8.7 Commission is the only payment you receive under the Programme. The Company does not reimburse your expenses.
9. Qualified Deals and attribution
9.1 A Qualified Deal is a purchase of an Eligible Package where:
(a) the Customer reached the Company through your Tracked Link within the Attribution Window, used your Coupon, or was registered by you in the Partner Portal as your referral before the purchase and accepted by the Company;
(b) the Customer completed a paid purchase;
(c) the payment has cleared the Hold Period without refund or chargeback; and
(d) no fraud, self-referral or breach of this Agreement was involved.
9.2 If more than one affiliate's link was used, the last click within the Attribution Window wins. One Coupon can be used per purchase.
9.3 No commission is paid on a prospect the Company was already in contact with before you introduced them, where the Company can show that earlier contact from its records (for example emails, calls, meetings, a booked session or an existing account) dated before your Tracked Link click, Coupon use or referral registration. Existing Customers are not attributed to you.
9.4 The Company decides attribution in good faith from its tracking records. If you disagree with an attribution, raise it within 60 days of the purchase with any evidence you have. The Company's reviewed decision is final.
10. Payment
10.1 Commission moves through these states in the Partner Portal: pending (during the Hold Period), approved, and paid. The Partner Portal shows every commission and payout.
10.2 Approved commissions are paid monthly, on the 1st of the month or the next business day, once your approved balance is at least €50. Balances under €50 roll over to the next month.
10.3 Payouts are made in euros to the bank account you register, through Stripe, with Wise as a fallback. You must complete your tax and payment details before your first payout. You bear your own bank and currency conversion charges.
10.4 We may delay a payout while a compliance review, dispute or suspected fraud is open. We will tell you why.
11. Refunds, chargebacks and adjustments
11.1 If a Customer payment is refunded, credited or charged back at any time, the related commission is reversed. If the commission was already paid, the amount is deducted from your pending or future commission.
11.2 If your balance cannot cover a deduction, the shortfall is carried as a negative balance and offset against future commission. If you leave the Programme with a negative balance, or the commission was obtained through fraud or breach, you must repay it within 30 days of our request.
11.3 We may also withhold or deduct commission for customer non-payment, fraudulent or unlawful marketing, or breach of this Agreement.
12. Taxes
12.1 You are responsible for all taxes on your commission, and for registering with tax authorities where required.
12.2 Before your first payout you provide the tax information the Partner Portal asks for (for example a W-9 or W-8 form, or your VAT number).
12.3 If you are VAT-registered in the EU or UK, you agree that the Company may issue self-billed invoices for your commission, that you will not issue your own invoices for the same amounts, and that you will tell us at once if your VAT registration changes.
12.4 The Company may withhold tax where the law requires it.
13. Marketing standards
13.1 You market honestly, professionally and lawfully, and you follow all advertising, consumer protection, privacy, data protection, electronic marketing and telephone marketing laws that apply where you and your prospects are.
13.2 You only make claims about levelpartner.ai that appear on www.levelpartner.ai or in Approved Materials. You quote published prices only. You never promise results, savings, revenue, rankings or earnings, and you never describe the Programme as a guaranteed income opportunity.
13.3 You contact prospects only where you have a lawful basis to do so. You honour every opt-out at once and keep a record of it. Every cold email you send carries an opt-out line. You respect do-not-call and do-not-contact lists.
13.4 You ask for consent before recording any call and stop recording if anyone objects.
13.5 You never ask Customers for fake or selective reviews, never offer incentives for reviews in breach of law or platform rules, and never write reviews or testimonials yourself.
13.6 You do not name or describe the Company's third-party technology suppliers in prospect-facing content, except as the Company's own published materials do.
14. Prohibited conduct
You must not:
(a) bid on levelpartner.ai trademarks or brand terms in paid search or social ads, or run paid ads using the levelpartner.ai name, without written approval;
(b) use coupons, discounts or offers the Company has not issued to you, or make misleading offers;
(c) send spam by email, SMS, messaging apps, social messages or automated outreach, or use auto-dialled or pre-recorded calls without consent;
(d) use cookie stuffing, forced clicks, fake attribution, incentivised clicks or deceptive tracking;
(e) create domains, social accounts, pages or ads that impersonate levelpartner.ai or could be confused with it;
(f) promote levelpartner.ai or the Programme as a guaranteed income opportunity, or recruit affiliates with earnings claims;
(g) buy through your own links or Coupon, or arrange purchases by people acting for you, to earn commission;
(h) copy or republish Company materials outside the Programme, or sell access to the Academy;
(i) use Approved Materials in a misleading way or change them so they become misleading;
(j) harass, pressure or mislead any prospect.
15. Data protection and confidentiality
15.1 You and the Company each act as an independent controller of the personal data you each collect. You are responsible for having a lawful basis and giving any required notices for the prospect data you collect and share with us.
15.2 You share prospect details with the Company only through the Partner Portal, a Tracked Link, a booking link, or another channel we approve. We use them according to our privacy notice.
15.3 You keep confidential any non-public information you receive through the Programme, including pricing not published on the website, internal processes, Customer information, call recordings, product plans and the content of the Partner Portal. You use it only for the Programme. This duty continues after the Agreement ends.
15.4 You may not download, copy or keep Customer data except as you need for your own Programme activity, and you delete it when it is no longer needed or when the Agreement ends.
16. Intellectual property and brand use
16.1 The Company grants you a limited, revocable, non-exclusive, non-transferable licence to use the levelpartner.ai name, wordmark and Approved Materials, as set out in the brand kit, solely to promote levelpartner.ai under this Agreement.
16.2 All rights and goodwill in the Company's brands, platform and materials remain with the Company.
16.3 You keep ownership of content you create yourself. You give the Company a free, worldwide licence to use any content, testimonial or call you submit to the Company for training or promotion, where you have agreed to that use and any required consents have been obtained.
16.4 You stop using the Company's brand and materials when this Agreement ends.
17. Term and termination
17.1 This Agreement starts when you are accepted into the Programme and continues until ended under this clause.
17.2 Either party may end this Agreement at any time by written notice. Notice by email to the address in the Partner Portal counts as written notice.
17.3 The Company may end this Agreement or suspend your access immediately for cause, including legal violations, failure to disclose commission, spam or unethical marketing, misrepresentation, fraud, harm to the Company's reputation, or any other material breach.
17.4 If the Agreement ends without cause, Tier 1 commission on Qualified Deals made before the end date continues to be paid under clause 8.1 for as long as those Customers keep their subscriptions, provided you continue to comply with clauses 13 to 16. Tier 2 commission stops.
17.5 If the Agreement ends for cause, all unpaid and future commission is forfeited.
17.6 Clauses 8.1 (as preserved by 17.4), 10 to 12, 15, 16.2, 16.4, 17.4 to 17.6, and 18 to 23 survive the end of the Agreement.
18. Independent contractor status
You are responsible for your own business, working methods, tools, costs, insurance and taxes. Nothing in this Agreement creates employment, partnership, agency or joint venture.
19. Disclaimers
19.1 The Company does not promise that you will earn any commission. Figures in the Partner Portal and Approved Materials are arithmetic on published prices, not forecasts.
19.2 The Company may change its products, packages, prices and the Programme. The Platform Account and Partner Portal are provided as they are, and may change or be unavailable at times.
20. Limitation of liability
To the maximum extent permitted by law, the Company is not liable for indirect, incidental or consequential losses, or for lost profits or lost opportunities. The Company's total liability under this Agreement is limited to the commission paid to you in the 30 days before the claim.
21. Indemnity
You indemnify and hold harmless the Company against claims, losses, fines and legal costs arising from your marketing activities, your breach of law (including telephone, email, privacy, data protection and advertising laws such as the TCPA, CAN-SPAM, FTC rules, GDPR and PECR), your misrepresentation or unapproved content, any arrangement under clause 8.6, or your breach of this Agreement.
22. Changes to this Agreement
22.1 The Company may change this Agreement, the Programme Policies, commission rates and Eligible Packages at any time by written notice to you by email and in the Partner Portal. A change takes effect on the date stated in the notice.
22.2 If you do not agree to a change, you may end the Agreement. If you continue in the Programme after the change takes effect, you accept it.
23. General
23.1 Governing law and disputes. This Agreement is governed by the laws of the State of New Jersey, United States. Any dispute is resolved in the state or federal courts located in New Jersey, and both parties consent to the jurisdiction of those courts.

23.4 Severability and waiver. If any part of this Agreement is unenforceable, the rest remains in force. A failure to enforce a right is not a waiver of it.

Schedule B. Programme policies
B1. Commission disclosure. Use this sentence, or other wording the Company approves, whenever you promote levelpartner.ai or introduce a prospect:
For transparency, I'm a levelpartner.ai affiliate and earn a commission if you sign up.
In short social captions you may use: "I earn a commission if you sign up through my link."
B2. How you present yourself. Sign-off: "[Your name], levelpartner.ai Partner" or "[Your name], levelpartner.ai Affiliate". Introduction: "[Your name] from levelpartner.ai". Never call yourself an employee or official representative. No own company name or logo in prospect-facing materials.
B3. Recording consent. Before recording, say: "Before we start: would you mind if I record this call? It gives me a recording and a transcript, so I can listen properly instead of typing, and write you an accurate recap afterwards. The recording is for me and for levelpartner.ai's call coaching, where a person reviews it. If you'd rather not, that's completely fine and we'll just go ahead without it." Once recording, confirm: "Just so it's on the recording: you're happy for this call to be recorded?" If anyone says no, do not record.
B4. Cold email opt-out. Every cold email carries: "If this isn't relevant, reply 'no' and I won't email again."
B5. Implementation. When asked who sets the platform up, say: "Our implementation team builds it with you; most clients are live in 2 to 4 weeks." Do not describe how the Company delivers its work beyond this.
B6. Claims. Use only claims on www.levelpartner.ai and in Approved Materials. No guarantees of results or income. Name sources for any figure you quote.
B7. Brand. Follow the brand kit in the Partner Portal. The wordmark is always lowercase "levelpartner.ai" and is never recoloured or changed.
