Terms of Service (version effective 07 September 2026)

1. Services

JSMN EQT LLC ("we", "us", "our") provides B2B services including The Momentum Method, AI Sales Coach, and AI Back Office. By accessing or using our services, you agree to be bound by these Terms of Service.

2. Eligibility & Accounts

Our services are exclusively for business-to-business (B2B) use. You must be authorized to bind your organization to these terms.

3. Fees & Payment Terms

Fees are stated exclusive of VAT or applicable taxes. Payment is required upfront for the relevant billing cycle (monthly, annual, or one-time). We reserve the right to suspend services if payment is more than 7 days late.

4. Refund Policy

• Momentum: 30-day money-back guarantee on the first cycle only if no qualified meetings are booked and the client has fully cooperated.
• AI Sales Coach: Non-refundable once onboarding begins.
• AI Back Office: Setup fees are non-refundable once implementation begins. Pass-through usage fees are non-refundable.

5. Cancellation

Monthly subscriptions require 30 days written notice to cancel. Annual subscriptions are non-cancellable during the term but will not auto-renew if 30 days written notice is provided prior to renewal.

6. Performance & Guarantees

Any performance guarantees (e.g., 30 meetings in 90 days) are strictly conditional upon client cooperation, including but not limited to timely approvals, attending scheduled calls, and providing requested assets.

7. Intellectual Property

All SOPs, templates, scripts, and systems provided by us remain the intellectual property of JSMN EQT LLC. Clients receive a non-exclusive licence to use these materials for their own internal business purposes during the active term.

8. Confidentiality

Both parties agree to keep confidential all non-public information shared during the engagement. This obligation survives termination.

9. Acceptable Use

You agree to use the services in compliance with all applicable laws, including GDPR, CAN-SPAM, CASL, and TCPA. You will not use our systems to send spam or unsolicited communications.

Where we process personal data on your behalf, our Data Processing Agreement governs that processing in addition to these terms. You can get a copy signed by both parties at levelpartner.ai/dpa.

10. SMS and text messaging

Programme. levelpartner.ai sends account, appointment and service messages to customers and enquirers who have explicitly opted in to receive SMS, and promotional messages to those who have separately opted in to marketing.

Message types. Appointment confirmations, reminders and rescheduling updates, account and onboarding notifications, document requests, support communications and, where separately consented, offers and product news.

Frequency. Message frequency varies with your account activity and the programmes you have joined.

Cost. Message and data rates may apply for messages sent to you from us and to us from you.

Opt out. Text STOP to +1 866-261-9691, the number that sends our messages. We will send one confirmation and then stop. You may also email support@levelpartner.ai.

Help. Reply HELP to any message, or contact support@levelpartner.ai or +1 866-261-9691.

Carriers. Carriers are not liable for delayed or undelivered messages.

Eligibility. You must be 18 or over to receive messages from us.

Compliance. We operate our messaging programmes in accordance with the TCPA and the CTIA Messaging Principles and Best Practices.

Privacy. Our handling of mobile information is described in our Privacy Policy.

11. Third-Party Platforms

Our services rely on third-party platforms (e.g., LinkedIn, GoHighLevel, Stripe, Fathom). We are not liable for downtime, API changes, or account restrictions imposed by these platforms.

12. Limitation of Liability

Our total liability under these terms is strictly limited to the fees paid by you in the 12 months preceding the claim. We are not liable for any indirect, consequential, or special damages.

13. Indemnification

You agree to indemnify and hold harmless JSMN EQT LLC from any claims arising out of your breach of these terms or your violation of any law or third-party rights.

14. Term & Termination

We may terminate this agreement immediately for cause if you breach these terms. Upon termination, all outstanding fees become immediately due.

15. Governing Law & Jurisdiction

These terms are governed by the laws of the State of New Jersey, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these terms shall be resolved in the state or federal courts located in New Jersey, and both parties consent to the jurisdiction of those courts.

Nothing in this section removes any mandatory consumer or data protection right you have under the law of the country in which you reside, including rights under the General Data Protection Regulation.

16. Changes

We may modify these terms with 30 days written notice for material changes. Continued use of the services constitutes acceptance of the new terms.
